WIRELESS DEALER GROUP TERMS AND CONDITIONS

1. Acceptance of Terms

Welcome to Wireless Dealer Group ("WDG," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Wireless Dealer Group governing your access to and use of our website at wirelessdealergroup.com, our services, platform, and any related applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

1.1 Modifications to Terms

WDG reserves the right to modify, update, or change these Terms at any time. We will notify you of material changes by:

Email notification to your registered email address at least 30 days before changes take effect

Prominent notice on our website

In-app notification when you log in

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

1.2 Additional Terms

Certain Services may be subject to additional terms and conditions specified by WDG. Those additional terms are incorporated into these Terms by reference.

2. Eligibility

2.1 Age and Authority

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that:

You are at least 18 years old

You have the legal authority to enter into these Terms

If representing a business, you have the authority to bind that business to these Terms

You are not prohibited from using our Services under applicable law

2.2 Geographic Restrictions

Our Services are primarily intended for users located in the United States. We make no representation that our Services are appropriate or available for use in other locations.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. When creating an account, you agree to:

Provide accurate, current, and complete information

Maintain and promptly update your account information

Maintain the security of your account credentials

Accept responsibility for all activities that occur under your account

3.2 Account Types

WDG offers two types of accounts:

Dealer Accounts: For wireless retail dealers seeking vendor connections, resources, and tools

Vendor Accounts: For companies providing products or services to wireless dealers

3.3 Account Security

You are responsible for:

Safeguarding your password and account credentials

All activities that occur under your account

Notifying WDG immediately of any unauthorized access or security breach

WDG is not liable for any loss or damage arising from your failure to maintain account security.

3.4 One Account Per Business

Each business entity may maintain only one active account. Creating multiple accounts for the same business without WDG's written permission is prohibited and may result in termination of all accounts.

4.4 Billing and Payment

Monthly Subscriptions:

Billed monthly on the anniversary date of your subscription

Payment via credit card or approved payment method

Automatic renewal unless cancelled with 15 days notice

Annual Subscriptions:

Billed annually on the anniversary date of your subscription

Payment via credit card or approved payment method

Automatic renewal unless cancelled with 15 days notice

Lead Purchases:

Charged immediately upon purchase

Payment via credit card on file

All lead sales are final (see Section 4.6 for credit policy)

4.5 Price Changes

WDG reserves the right to change membership fees and lead pricing at any time. We will provide at least 30 days notice of any price increases. Continued use of the Services after a price increase takes effect constitutes acceptance of the new pricing.

4.6 Refund Policy

Monthly Subscriptions:

No refunds for monthly subscriptions once the billing period has started

Cancellations take effect at the end of the current billing period

You retain access to paid features through the end of the paid period

Annual Subscriptions:

No refunds for annual subscriptions

Cancellations take effect at the end of the annual term

You retain access to paid features through the end of the paid period

Lead Purchases:

All lead sales are final

Exception: If dealer contact information is inaccurate or invalid, WDG will issue a credit to your account for a replacement lead

To request a credit, contact vendors@wirelessdealergroup.com within 7 days of purchase with evidence of invalid information

Credits are issued at WDG's sole discretion after verification

Credits are non-refundable and may only be used for future lead purchases

Promotional Periods:

Refunds during promotional or trial periods are subject to the specific terms of the promotion

4.7 Cancellation Policy

How to Cancel:

Dealers: Email dealers@wirelessdealergroup.com or call 833-833-2893

Vendors: Email vendors@wirelessdealergroup.com or call 833-833-2893

Must provide 15 days notice prior to next billing date

Cancellation takes effect:

At the end of the current billing period (monthly or annual)

You retain access to paid features through the end of the paid period

Automatic renewal is disabled

After Cancellation:

Dealer accounts: Reverts to Free Membership

Vendor accounts: Reverts to Free Listing

All downloaded materials and resources are for your continued use

Access to member-only areas ceases at end of billing period

4.8 Non-Payment and Suspension

If payment fails:

WDG will attempt to process payment up to 3 times

Email notification sent after each failed attempt

After 3 failed attempts, account is automatically downgraded:

Dealers: Downgraded to Free Membership

Vendors: Downgraded to Free Listing

No grace period for continued access to paid features

Outstanding balances must be paid before upgrading again

Past due accounts:

WDG reserves the right to suspend or terminate accounts with past due balances

Collection costs and legal fees may be added to outstanding balances

Accounts may be referred to collection agencies

5. Use of Services

5.1 Permitted Uses

You may use our Services for lawful business purposes, including:

Accessing resources, tools, and educational materials

Connecting with vendors or dealers in the wireless retail industry

Purchasing or receiving dealer leads (if eligible)

Participating in forums, groups, and community features

Attending webinars, conferences, and events

5.2 Prohibited Uses

You may NOT use our Services to:

Illegal Activities:

Violate any local, state, federal, or international law

Engage in fraudulent, deceptive, or misleading practices

Violate intellectual property rights of WDG or third parties

Harmful Activities:

Upload, post, or transmit viruses, malware, or malicious code

Attempt to gain unauthorized access to our systems or other user accounts

Interfere with or disrupt the Services or servers

Use automated scripts, bots, or scrapers to access or collect data

Abuse and Harassment:

Harass, abuse, threaten, or intimidate other users

Post defamatory, obscene, or offensive content

Spam or send unsolicited communications to other users

Impersonate any person or entity

Misuse of Information:

Share, sell, or distribute dealer leads to unauthorized third parties (vendors only)

Use dealer information for purposes other than legitimate business outreach

Scrape or harvest user data from the platform

Reverse engineer or attempt to extract source code from our Services

TCPA and Marketing Violations (Vendors):

Contact dealers without proper consent

Violate the Telephone Consumer Protection Act (TCPA)

Violate CAN-SPAM Act or other telecommunications regulations

Fail to honor dealer opt-out requests

Use deceptive or misleading marketing practices

5.3 Vendor Obligations

Vendors who purchase dealer leads agree to:

Comply with all applicable laws, including TCPA, CAN-SPAM, and state privacy laws

Use dealer information solely for legitimate business purposes

Honor opt-out requests immediately

Not share, sell, or transfer dealer information to third parties

Maintain reasonable data security measures

Report any data breaches within 24 hours

5.4 User Content

Your Content:

You retain ownership of any content you post, upload, or submit to our Services ("User Content")

You grant WDG a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and promoting our Services

You represent and warrant that you have all rights necessary to grant this license

Prohibited Content: You may not post or upload:

Copyrighted material without permission

Trade secrets or confidential information of others

Content that violates privacy rights

Spam, advertisements, or promotional material (except in designated areas)

Malicious code or links to malicious sites

Content Moderation:

WDG reserves the right to remove any User Content that violates these Terms

WDG is not obligated to monitor User Content but may do so

WDG may remove content without notice or explanation

5.5 Dealer Community Standards

When participating in forums, groups, or community features:

Be respectful and professional

Stay on topic and contribute meaningfully

Do not spam or post excessive self-promotion

Respect confidentiality of other dealers' business information

Report violations to dealers@wirelessdealergroup.com

6. Intellectual Property Rights

6.1 WDG Ownership

All content, features, and functionality of our Services, including but not limited to:

Text, graphics, logos, icons, images, audio, video

Software, code, and technology

Compilations, databases, and data structures

Tools, templates, calculators, and resources

"Wireless Dealer Group," "WDG," and related trademarks

are owned by Wireless Dealer Group or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

WDG grants you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Services for your personal or internal business use

Download and use tools, templates, and resources provided with your membership

Display your membership badge or verification tag (if applicable)

This license does NOT permit you to:

Modify, copy, distribute, transmit, display, reproduce, or create derivative works

Reverse engineer, decompile, or disassemble any software

Remove or modify any copyright, trademark, or proprietary notices

Use our trademarks without written permission

Frame or mirror any content from our Services

Use our Services to develop competing products or services

6.3 Trademarks

"Wireless Dealer Group," "WDG," and related logos are trademarks of Wireless Dealer Group. You may not use our trademarks without prior written consent, except to accurately reference your membership status.

6.4 DMCA and Copyright Infringement

WDG respects intellectual property rights. If you believe content on our Services infringes your copyright, please contact:

7. Privacy and Data Protection

7.1 Privacy Policy

Your use of our Services is also governed by our Privacy Policy, available at wirelessdealergroup.com/privacy, which is incorporated into these Terms by reference.

7.2 Data Collection and Use

By using our Services, you acknowledge and agree that:

WDG collects and processes your personal information as described in our Privacy Policy

Dealer information may be shared with or sold to vendor partners

You have reviewed and understand our data practices

7.3 Data Sharing with Vendors

For Dealers: If you create a dealer account, your business contact information may be:

Shared with Free and Standard tier vendors through directory listings

Sold to Charged and Super Charged vendors as paid leads

Used by vendors to contact you about business opportunities

Your Rights:

California residents: Opt-out of sale at wirelessdealergroup.com/privacy-request

All users: Opt-out of marketing communications at any time

7.4 Data Security

WDG implements reasonable security measures to protect your information. However, no system is completely secure. You acknowledge that:

WDG cannot guarantee absolute security

You use our Services at your own risk

You are responsible for maintaining the security of your account

8. Lead Generation Services

8.1 How Leads Work

For Vendors (Charged and Super Charged tiers only):

Vendors may purchase dealer leads based on service categories

Each lead includes dealer business contact information

Leads are delivered immediately upon purchase

Lead pricing varies by category (see Section 4.3)

For Dealers:

Dealer information may be provided to vendors as paid leads

Dealers may receive contact from multiple vendors

Dealers may opt-out of lead sales (California residents) or marketing communications (all users)

8.2 Lead Quality and Accuracy

WDG's Responsibilities:

Make reasonable efforts to maintain accurate dealer information

Provide dealer information as provided to us by dealers

Issue credits for demonstrably inaccurate or invalid contact information

WDG Does NOT Guarantee:

Lead quality, responsiveness, or conversion rates

That dealer information is current or accurate

That dealers are actively seeking vendor services

That dealers will respond to vendor outreach

8.3 Lead Credits

If you receive inaccurate dealer contact information:

Contact vendors@wirelessdealergroup.com within 7 days of purchase

Provide evidence of inaccuracy (bounced email, disconnected number, etc.)

WDG will investigate and issue a credit at our discretion

Credits are account credits only (non-refundable)

Credits may be used for future lead purchases

Not eligible for credits:

Dealer does not respond to your contact

Dealer is not interested in your services

Dealer has opted out after you purchased the lead

You contacted dealer improperly or violated TCPA

8.4 Exclusive vs. Non-Exclusive Leads

All leads are non-exclusive unless otherwise specified.

Multiple vendors may purchase the same dealer lead

WDG does not limit the number of vendors who may contact a dealer

Premium/exclusive leads may be offered in the future with different terms

8.5 Vendor Use of Leads

Vendors who purchase leads agree to:

Use dealer information only for legitimate business outreach

Comply with TCPA, CAN-SPAM, and all applicable laws

Honor opt-out requests immediately

Not share, sell, or transfer leads to third parties

Maintain confidentiality and security of dealer information

Violation of these terms may result in:

Immediate account termination

Forfeiture of unused lead credits

Liability for damages

Reporting to regulatory authorities

9. Third-Party Services and Links

9.1 Third-Party Content

Our Services may contain links to third-party websites, services, or resources, including:

Vendor websites and contact information

Partner services and integrations

Educational resources and articles

Advertising and promotional content

9.2 No Endorsement

WDG does NOT:

Endorse or guarantee third-party products, services, or content

Control or review third-party websites

Assume responsibility for third-party actions or content

Warrant the accuracy of third-party information

9.3 Third-Party Terms

Your interactions with third parties are governed by their terms and conditions and privacy policies. WDG is not a party to those agreements and has no liability for third-party actions.

9.4 Vendor-Dealer Relationships

WDG's Role:

WDG operates as a marketplace platform connecting vendors and dealers

WDG facilitates introductions and information exchange

WDG is NOT a party to any transactions or agreements between vendors and dealers

Your Responsibility:

Conduct your own due diligence before engaging with vendors or dealers

Verify credentials, references, and business legitimacy

Negotiate your own terms, pricing, and agreements

Resolve disputes directly with the other party

WDG is NOT liable for:

Quality, safety, or legality of vendor products/services

Vendor performance or fulfillment

Dealer payment or creditworthiness

Fraud, misrepresentation, or misconduct by either party

Disputes, damages, or losses arising from vendor-dealer relationships

10. Disclaimers and Limitations of Liability

10.1 Service "AS IS"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WDG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, and non-infringement

Warranties regarding accuracy, reliability, or completeness of content

Warranties regarding uninterrupted or error-free service

Warranties regarding security or freedom from viruses

10.2 No Guarantee of Results

WDG DOES NOT GUARANTEE:

Lead quality, accuracy, or responsiveness

That tools, calculators, or resources will produce specific results

That you will achieve any particular financial outcome

That vendors or dealers will meet your expectations

Platform uptime, availability, or performance

Compatibility with your systems or devices

10.3 User Responsibility

You acknowledge and agree that:

You use our Services at your own risk

You are solely responsible for your business decisions

You should conduct independent research and due diligence

You should consult with professionals (lawyers, accountants, etc.) as needed

WDG's tools and resources are educational only, not professional advice

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WDG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

Indirect Damages:

Indirect, incidental, special, consequential, or punitive damages

Loss of profits, revenue, data, or business opportunities

Business interruption or loss of goodwill

Cost of substitute services

Direct Damages:

In no event shall WDG's total liability exceed the amount you paid to WDG in the 12 months preceding the claim, or $100, whichever is greater

Excluded Claims: This limitation applies to all claims, including:

Breach of contract

Breach of warranty

Negligence

Strict liability

Misrepresentation

Any other legal theory

Regardless of:

Whether WDG was advised of the possibility of damages

Whether any remedy fails of its essential purpose

10.5 Exceptions

Some jurisdictions do not allow limitation of certain warranties or liability. In those jurisdictions, WDG's liability is limited to the maximum extent permitted by law.

10.6 Third-Party Claims

WDG is not liable for:

Actions, omissions, or misconduct of vendors, dealers, or other users

Products, services, or content provided by third parties

Violations of law or your rights by third parties

Disputes between users

11. Vendor-Specific Terms

The following terms apply specifically to vendor accounts:

11.1 Vendor Agreement Incorporation

All vendors must execute and comply with WDG's Vendor Agreement, which includes detailed requirements for:

TCPA and CAN-SPAM compliance

Data security and breach notification

Communication standards and opt-out procedures

Recordkeeping and audit rights

Indemnification obligations

The Vendor Agreement is incorporated into these Terms by reference.

11.2 Regulatory Compliance

Vendors must comply with all applicable laws and regulations, including:

Telephone Consumer Protection Act (TCPA):

Obtain proper consent before making autodialed or prerecorded calls/texts

Maintain Do Not Call list compliance

Honor opt-out requests immediately

Call only during permitted hours (8 AM - 9 PM local time)

Display accurate caller ID

CAN-SPAM Act:

Include accurate "From" information

Use truthful subject lines

Identify messages as advertisements

Include valid physical address

Provide clear opt-out mechanism

Honor opt-outs within 10 business days

State Privacy Laws (CCPA, VCDPA, etc.):

Honor dealer privacy rights requests

Implement reasonable data security

Report data breaches as required

Comply with opt-out of sale requests

11.3 Marketing and Communication Standards

Vendors must:

Clearly identify themselves in all communications

Provide accurate contact information

Not use deceptive or misleading practices

Limit contact frequency to reasonable levels

Document all consents and opt-outs

Vendors must NOT:

Use misleading caller ID or "From" information

Make false claims about products/services

Contact dealers who have opted out

Share dealer information with third parties without consent

Use information for purposes other than legitimate business outreach

11.4 Lead Usage Restrictions

Permitted Uses:

Contacting dealers about relevant products/services

Sending quotes, proposals, and service information

Following up on previous communications

Providing requested information

Prohibited Uses:

Selling or transferring leads to other companies

Using leads for purposes unrelated to your business

Sharing leads with affiliates or partners without authorization

Combining leads with other databases for resale

Using leads after account termination (except as legally required)

11.5 Vendor Obligations

Data Security:

Implement reasonable security measures to protect dealer information

Encrypt sensitive data in transit and at rest

Limit employee access to need-to-know basis

Report any data breaches within 24 hours to security@wirelessdealergroup.com

Recordkeeping:

Maintain records of all dealer communications for 5 years

Document all opt-out requests

Maintain Do Not Call list scrubbing records

Provide records to WDG upon request for compliance audits

Complaint Handling:

Respond to dealer complaints within 48 hours

Provide WDG with copies of complaints and responses

Take immediate corrective action when necessary

Cooperate with WDG investigations

11.6 Verification and Accreditation

Verification Tags:

Standard and Charged vendors receive a basic Verification Tag

Super Charged vendors receive a Premium Verification Tag

Verification indicates WDG has confirmed basic business information

Verification does NOT constitute endorsement or guarantee of quality

WDG Verification Process:

Business license and registration verification

Tax ID/EIN verification

Reference checks (when applicable)

Ongoing monitoring of complaints and compliance

Verification may be revoked if:

Business information is found to be inaccurate

Pattern of dealer complaints emerges

Violations of Terms or Vendor Agreement occur

Business license or registration lapses

11.7 Vendor Categories

Standard and Premium Categories:

Some categories are designated as "Standard" (available to all paid vendors)

Some categories are designated as "Premium" (Super Charged only)

Category assignments determined by WDG based on dealer demand and market factors

WDG may change category designations with 30 days notice

Category Restrictions:

Vendors must accurately represent their services

Cannot list in categories unrelated to actual services offered

WDG may remove vendors from categories for misrepresentation

11.8 Directory Listing Standards

All Vendor Listings Must:

Contain accurate, current business information

Use professional language and presentation

Comply with content guidelines (no spam, offensive content, etc.)

Include valid contact information

WDG Reserves the Right To:

Edit or remove listings that violate standards

Change listing display order or prominence

Remove outdated or inactive vendors

Modify directory structure and organization

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

Emailing dealers@wirelessdealergroup.com or vendors@wirelessdealergroup.com

Calling 833-833-2893 (M-F, 9 AM - 5 PM PST)

Using account cancellation feature (if available)

Cancellation requires 15 days notice prior to next billing date and takes effect at the end of the current billing period.

12.2 Termination by WDG

WDG may suspend or terminate your account immediately if:

For All Users:

You violate these Terms or any WDG policy

You engage in fraudulent or illegal activity

Your account has been inactive for 2+ years

You fail to pay amounts due

You create multiple accounts without authorization

You provide false or misleading information

You harass, abuse, or threaten other users

You attempt to compromise security or access unauthorized data

For Vendors Specifically:

You violate TCPA, CAN-SPAM, or other telecommunications laws

You receive excessive dealer complaints

You share, sell, or misuse dealer leads

You fail to honor dealer opt-out requests

You engage in deceptive marketing practices

You experience a data breach due to inadequate security

You fail to cooperate with compliance audits

You lose required business licenses or registrations

For Dealers Specifically:

You use Services to compete with WDG

You scrape or harvest vendor data improperly

You impersonate vendors or other dealers

12.3 Effect of Termination

Upon termination of your account:

Immediate Effects:

Your access to the Services is terminated

You may no longer use your membership badge or verification tag

Your profile and listings are removed from public view

Your ability to purchase leads is revoked (vendors)

Billing Effects:

No refunds for prepaid subscriptions or lead purchases

Outstanding balances become immediately due

Automatic renewal is cancelled

Data Retention:

Your personal information handled per our Privacy Policy

Vendors must cease using dealer leads for new outreach

Vendors may retain minimal information for legal compliance

WDG may retain data for legal, tax, and business purposes

Surviving Provisions: The following sections survive termination:

Section 6 (Intellectual Property)

Section 8.5 (Vendor Use of Leads - for previously purchased leads)

Section 10 (Disclaimers and Limitations of Liability)

Section 11 (Vendor-Specific Terms - for data retention obligations)

Section 13 (Indemnification)

Section 14 (Dispute Resolution)

Any other provisions that by their nature should survive

12.4 Post-Termination Obligations

After Termination:

Vendors Must:

Honor all dealer opt-out requests received before or after termination

Maintain security of dealer information

Comply with data retention obligations

Report any data breaches even after termination

Not use WDG trademarks or represent affiliation with WDG

All Users Must:

Pay any outstanding balances

Return or destroy WDG confidential information (if applicable)

Cease representing affiliation with WDG

Not disparage WDG or interfere with business relationships

13. Indemnification

13.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Wireless Dealer Group, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

For All Users:

Your use or misuse of the Services

Your violation of these Terms

Your violation of any law or regulation

Your violation of any rights of third parties

Your User Content or other content you submit

Your business operations and activities

Any false or misleading information you provide

Your interactions with other users

For Vendors Specifically:

Your use of dealer leads and contact information

Your marketing, advertising, or communications with dealers

Your violation of TCPA, CAN-SPAM, or other telecommunications laws

Your violation of privacy laws (CCPA, VCDPA, etc.)

Your products, services, or business practices

Your data security breaches or failures

Your failure to honor dealer opt-out requests

Any claims by dealers related to your conduct

Your sharing or misuse of dealer information

For Dealers Specifically:

Your transactions or relationships with vendors

Your use of tools, templates, or resources provided by WDG

Your reliance on vendor information or representations

13.2 Defense and Settlement

Your Defense Obligations:

You will assume full control and cost of defense of any covered claims

You will hire competent legal counsel acceptable to WDG

You will keep WDG informed of all developments

You will not settle any claim without WDG's prior written consent

You will pay all judgments, settlements, costs, and attorneys' fees

WDG's Cooperation:

WDG will promptly notify you of any claims

WDG will reasonably cooperate with your defense

WDG will not admit liability or settle without your consent

13.3 WDG's Right to Participate

WDG reserves the right, at its own expense, to:

Assume the exclusive defense and control of any matter subject to indemnification

Participate in the defense at its own expense

Approve any settlement that affects WDG's rights or imposes obligations on WDG

14. Dispute Resolution

14.1 Mandatory Arbitration

YOU AND WDG AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL BE RESOLVED THROUGH BINDING ARBITRATION, EXCEPT AS PROVIDED BELOW.

Covered Disputes:

Breach of contract claims

Breach of warranty claims

Tort claims (negligence, fraud, misrepresentation)

Statutory claims

Any other legal or equitable claims

Exceptions (NOT Subject to Arbitration):

Claims for injunctive relief to prevent ongoing violations

Intellectual property disputes

Claims that may be brought in small claims court

Claims by WDG to collect amounts owed

14.2 Arbitration Procedures

Arbitration Rules:

Governed by the Federal Arbitration Act

Administered by American Arbitration Association (AAA)

Conducted under AAA Commercial Arbitration Rules

Single arbitrator (unless amount in controversy exceeds $1,000,000)

Arbitrator selected by mutual agreement or appointed by AAA

Location:

Arbitration held in Ontario, California

Or mutually agreed location

Or via videoconference or telephone (for claims under $25,000)

Discovery:

Limited discovery as determined by arbitrator

Document requests and depositions as needed

No formal interrogatories or requests for admission

Award:

Arbitrator may award any relief available in court

Arbitrator's decision is final and binding

Judgment on award may be entered in any court with jurisdiction

Limited grounds for appeal under Federal Arbitration Act

14.3 Arbitration Costs

Costs and Fees:

Each party bears its own attorneys' fees and costs

AAA administrative fees and arbitrator's compensation split equally between parties

Exception: Arbitrator may award costs and fees to prevailing party if law allows

WDG will not seek attorneys' fees unless arbitrator determines your claim was frivolous

Fee Waivers:

If you cannot afford arbitration costs, you may apply to AAA for fee waiver

WDG will not oppose reasonable fee waiver requests

14.4 Class Action Waiver

YOU AND WDG AGREE TO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY REPRESENTATIVE ACTION.

All disputes must be brought individually

No consolidation of claims with other parties

No arbitration on behalf of a class or group

Arbitrator may not consolidate multiple parties' claims without consent

Exception: This waiver does not apply if it is found to be unenforceable under applicable law.

14.5 Informal Dispute Resolution

Before Initiating Arbitration:

Describe the dispute and proposed resolution

Allow 30 days for good faith negotiation

If unresolved, either party may initiate arbitration

Benefits of Informal Resolution:

Faster resolution

Lower costs

Preserve business relationship

More flexible outcomes

14.6 Time Limit for Claims

You must bring any claim within ONE (1) YEAR of when the claim arises. Claims not brought within this time are permanently barred.

14.7 Severability

If any part of this arbitration agreement is found to be invalid or unenforceable:

The remainder of the arbitration agreement remains in effect

Invalid provisions shall be severed

Disputes proceed to arbitration on remaining valid terms

Exception: If class action waiver is invalid, entire arbitration agreement is void

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

For disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in San Bernardino County, California.

15.2 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein (including the Vendor Agreement), constitute the entire agreement between you and WDG regarding the Services and supersede all prior agreements, representations, and understandings.

15.3 Amendments

WDG may modify these Terms at any time. Material changes will be communicated via:

Email to your registered address (30 days advance notice)

Prominent website notice

In-app notification

Continued use after changes take effect constitutes acceptance.

15.4 Waiver

WDG's failure to enforce any provision of these Terms does not waive our right to enforce that provision later or any other provision. Waivers must be in writing and signed by an authorized WDG representative.

15.5 Severability

If any provision of these Terms is found to be invalid or unenforceable:

The remaining provisions continue in full effect

Invalid provisions shall be reformed to approximate the parties' intent to the maximum extent possible

Only the minimum necessary portion is severed

15.6 Assignment

You may not assign or transfer these Terms or your account without WDG's prior written consent. Any attempted assignment in violation is void.

WDG may assign these Terms to:

Any successor in interest (merger, acquisition, asset sale)

Any affiliated entity

Any third party with notice to you

15.7 Force Majeure

WDG is not liable for delays or failures in performance due to causes beyond reasonable control, including:

Acts of God (natural disasters, pandemics, etc.)

War, terrorism, or civil unrest

Government actions or regulations

Internet or telecommunications failures

Labor disputes or strikes

Supplier or vendor failures

Exception: Force majeure does not excuse payment obligations.

15.8 Notices

All notices to WDG must be sent to:

15.9 Interpretation

In these Terms:

"Including" means "including without limitation"

Singular includes plural and vice versa

Headings are for convenience only and do not affect interpretation

"Days" means calendar days unless specified as "business days"

"Or" is not exclusive (may mean "and/or")

15.10 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except:

Dealers whose information is provided to vendors are third-party beneficiaries of vendor obligations regarding data use and TCPA compliance

WDG officers, directors, employees, and agents are beneficiaries of limitation of liability and indemnification provisions

15.11 Language

These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version controls.

15.12 Export Controls

You may not use or export the Services in violation of U.S. export laws and regulations. You represent that:

You are not located in a country subject to U.S. embargo

You are not on any U.S. government list of prohibited or restricted parties

You will not use Services for prohibited purposes (weapons development, etc.)

15.13 Government Users

If you are a U.S. government entity, the Services are "Commercial Items" as defined in FAR 2.101, and use is governed by these Terms.

15.14 Relationship of Parties

You and WDG are independent contractors. These Terms do not create:

Partnership, joint venture, or agency relationship

Employment relationship

Franchise relationship

Fiduciary duty

Neither party has authority to bind the other.

15.15 No Guarantees

WDG makes no guarantees regarding:

Business success or financial outcomes

Lead conversion rates or quality

Vendor or dealer performance

Accuracy of tools, calculators, or projections

Results from use of resources or materials

You acknowledge that:

Business success depends on many factors beyond WDG's control

Past performance does not guarantee future results

You are responsible for your own business decisions

You should conduct independent research and consult professionals

15.16 Updates and Maintenance

WDG may:

Perform scheduled or emergency maintenance

Update, modify, or discontinue features

Change Services without notice

Suspend Services temporarily for maintenance

WDG will make reasonable efforts to:

Schedule maintenance during off-peak hours

Provide advance notice when possible

Minimize service interruptions

17. Acknowledgment and Acceptance

BY CREATING AN ACCOUNT, ACCESSING, OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT:

☑ You agree to be bound by these Terms and our Privacy Policy

☑ You have the legal authority to accept these Terms on behalf of yourself or your business

☑ You understand that these Terms include:

Mandatory arbitration of disputes (Section 14)

Class action waiver (Section 14.4)

Limitation of liability (Section 10.4)

No guarantees of business results (Section 10.2)

Indemnification obligations (Section 13)

☑ For Dealers: You understand that your information may be shared with or sold to vendors

☑ For Vendors: You agree to comply with TCPA, CAN-SPAM, and all applicable laws when using dealer leads

☑ You understand that monthly and annual subscriptions are non-refundable (Section 4.6)

☑ You must provide 15 days notice to cancel before next billing cycle (Section 4.7)

☑ WDG may terminate your account for violations of these Terms (Section 12.2)
