Wireless Dealer Group Terms of Service

Effective Date: November 2, 2026

Last Updated: November 2, 2026

wirelessdealergroup.com

Welcome to Wireless Dealer Group ("WDG," "we," "us," or "our"). By accessing or using our website, platform, membership program, vendor directory, or lead services (collectively, the "Platform"), you agree to be bound by these Terms of Service. Please read them carefully before using any part of the Platform.

If you do not agree to these terms, do not use the Platform.

Our handling of personal information is governed by our separate Privacy Policy, available at wirelessdealergroup.com/site-menu-items/privacy, which is incorporated into these terms by reference.

Section 1: Who We Are

Wireless Dealer Group is a B2B professional community platform serving independent wireless dealers, vendors, master agents, distributors, and industry professionals. We operate as part of The Group Holdings portfolio of professional community platforms.

Our Platform connects wireless industry professionals with vendors, training resources, business tools, and an AI-powered assistant — all designed to help members build better businesses.

Section 2: Membership Terms

2.1 Membership Eligibility

WDG membership is available to individuals and businesses operating in or entering the wireless retail and dealer industry. By registering, you represent that:

  • You are at least 18 years of age

  • You have the legal authority to enter into these terms on behalf of yourself or your business

  • All information you provide during registration and verification is accurate and complete

  • You will maintain the accuracy of your information throughout your membership

2.2 Dealer Membership Tiers

WDG offers the following dealer membership tiers:

  • Free — $0/month — limited wholesale directory, dealer tools, and dealer guides

  • Pro — $29/month founding rate per store (standard rate $49/month) — full wholesale directory, expanded dealer tools and guides, member discounts

  • Premier — $59/month founding rate per store (standard rate $99/month) — everything in Pro, plus the full tool and guide library, multi-location support, and concierge service

Founding rate. Pro and Premier members who join at the founding rate keep that rate for as long as the membership remains continuously active. The founding rate applies per store location. It is lost, and the then-current standard rate applies, if the plan is cancelled or if the plan is turned off for non-payment. Current standard rates are $49/month for Pro and $99/month for Premier. WDG may change standard rates with notice; a change to standard rates does not affect an active founding rate.

Membership fees are charged per store location and are currently billed monthly. Annual dealer billing is not yet offered. When it becomes available, the annual rate will be $490/year for Pro and $990/year for Premier, based on the standard monthly rates, and annual terms will be billed in full at the beginning of each annual term.

Founding rate members and annual billing. A founding rate is a monthly rate. Annual billing, when offered, will be priced from the standard monthly rates and will therefore cost more per year than a founding rate paid monthly. Members holding a founding rate should remain on monthly billing to keep it. Switching to annual billing ends the founding rate and is not reversible.

2.3 Member Verification Levels

WDG operates a three-level verification system for dealer members. Verification levels are separate from membership tiers and from vendor listing tiers.

  • Verification Level 1 — Operating: active commercial location, verified carrier contracts, confirmed business operations

  • Verification Level 2 — Buildout: location secured, business in development phase

  • Verification Level 3 — Planning: exploratory phase, no location secured

Your verification level determines access to vendor directory categories and Lead Program eligibility. WDG reserves the right to update member verification status at any time based on submitted information.

2.4 Cancellation and Refunds

All WDG fees are non-refundable. This includes membership fees, vendor listing fees, lead fees, and any other charges, whether billed monthly or annually, and whether or not the service was used.

Memberships may be cancelled at any time. Cancellation stops future billing and takes effect at the end of the period you have already paid for — you keep full access for the remainder of that period. No partial or prorated refund is issued for the unused portion of any period.

WDG reserves the right to cancel or suspend a membership for violation of these terms, without refund.

If you cancel a Pro or Premier membership, or if it is turned off for non-payment, any founding rate on that membership ends. Rejoining later is at the then-current standard rate.

Section 3: The WDG Lead Program

3.1 What the Lead Program Is

The WDG Lead Program connects verified member dealers with verified vendor partners for business opportunities. By submitting a Dealer Application or completing the Dealer Verification process on our Platform, you participate in the Lead Program and agree to the terms of this section.

The Lead Program is separate from WDG Platform Messaging, which is described in Section 4. Your consent to one does not grant the other.

BY CHECKING THE LEAD PROGRAM CONSENT BOX ON A DEALER APPLICATION OR VERIFICATION FORM ON THE WDG PLATFORM, YOU PROVIDE YOUR PRIOR EXPRESS WRITTEN CONSENT to Wireless Dealer Group and to verified vendor partners in the Wireless Dealer Group network, in your requested categories, to contact you using the information you have provided, including:

  • Telephone calls, including automated and prerecorded calls

  • Text messages, including SMS and MMS

  • Email communications

This contact may be for the purpose of discussing wireless dealer business opportunities, products, services, and related business matters relevant to your application or verification.

You understand and agree that:

  • Verified WDG vendors in your requested categories may receive your

application information, and the number of vendors who receive it varies by

category, by vendor participation, and by the routing described in

    Section 3.5

  • You may be contacted by these vendors within 72 hours of your application or verification submission

  • Vendors who contact you have agreed to WDG's Vendor Conduct Standards described in Section 5

  • Each vendor is independently responsible for its own compliance with the Telephone Consumer Protection Act and applicable state law in contacting you

  • This consent is not a condition of membership or any purchase

  • This consent is separate from WDG Platform Messaging consent under Section 4, and declining or withdrawing either does not affect the other

  • You may opt out at any time as described in Section 3.3

3.3 Opting Out of the Lead Program

You may opt out of vendor contacts at any time through any of the following methods:

  • Reply STOP to any text message sent by WDG under the Lead Program

  • Click the unsubscribe link in any email from WDG

  • Email us at dealers@wirelessdealergroup.com with your opt-out request

  • Call 833-833-2893 (M–F, 9 AM – 5 PM PST)

  • Update your Lead Preferences in your member dashboard

Timing. WDG stops sharing your information with new vendors immediately upon receiving your opt-out request, and in no case later than ten (10) business days. Any STOP request you send to a WDG text message is honored immediately and permanently.

Vendor messages are separate. Replying STOP to a message from a vendor partner stops that vendor, not the Lead Program. A vendor's opt-out system is operated by that vendor and does not reach WDG. To withdraw your Lead Program consent, use one of the WDG methods listed above.

Opting out of the Lead Program does not cancel your membership, and does not stop WDG Platform Messaging under Section 4.

3.4 Lead Types

The WDG Lead Program operates with the following lead types:

  • Phone Call Leads — calls routed through WDG tracked numbers to vendor partners

  • Dealer Application Leads — structured applications submitted by members expressing interest in a specific vendor relationship, reviewed and introduced by WDG account managers

  • Verified Member Leads — leads from Verification Level 1 operating members, introduced by WDG account managers

3.5 Lead Program Delivery

WDG uses a bid-based routing system to match dealer leads with vendor partners. Multiple vendors in the same category may receive the same lead at staggered delivery intervals. WDG does not guarantee that any specific vendor will contact you, or that any vendor introduction will result in a business relationship.

3.6 Lead Access by Vendor Listing Tier

  • Listed vendor tier — no lead access and no dealer contact information

  • Standard vendor tier — phone call leads in one listed category only

  • Preferred vendor tier — phone call leads and dealer application leads in up to five categories

  • Premium vendor tier — phone call leads and dealer application leads in unlimited categories

All paying vendor tiers receive the same categories of dealer information. They differ in lead volume, number of categories, targeting, and priority of delivery.

Section 4: Text Messaging (SMS and MMS)

This section governs all text messages sent by Wireless Dealer Group. WDG operates two separate text messaging programs, and your consent to each is collected separately, on its own checkbox. Neither is a condition of membership or of any purchase.

4.1 WDG Platform Messaging

By checking the Platform Messaging box on the Dealer Application or in the member portal, you consent to receive text messages from Wireless Dealer Group about your own account:

  • Account and application status notifications — application received, additional verification required, application approved, account activated, or account closed

  • One-time passcodes — used to sign in, to confirm ownership of a business listing, or to change account or payout details

Program terms:

  • Message frequency varies with your account and sign-in activity.

  • Message and data rates may apply.

  • Reply HELP for help. Reply STOP to opt out at any time. We honor STOP requests immediately and permanently.

  • Carriers are not liable for delayed or undelivered messages.

  • For help, contact support@wirelessdealergroup.com or 833-833-2893 (M–F, 9 AM – 5 PM PST).

This consent is given to Wireless Dealer Group only. Your Platform Messaging opt-in — the fact that you consented, the number you consented for that program, the wording shown to you, and the date — is never shared or sold to any third party, including vendor partners and affiliates, for any purpose. No third party is authorized to send you text messages on the basis of your Platform Messaging consent.

This information may be disclosed only to subcontractors that provide support services on our behalf, such as our messaging provider and our customer service platform, and only as needed to deliver these messages.

4.3 Lead Program Text Messages Are Separate

The Lead Program consent described in Section 3.2 is a separate, optional consent. Under it, vendor partners may contact you by text. Those messages do not come from WDG's Platform Messaging numbers, and your Platform Messaging consent does not authorize any vendor to contact you.

Each vendor is solely responsible for obtaining and documenting its own consent and for its own identification and opt-out handling under the Telephone Consumer Protection Act and applicable state law, as required by Section 5.4.

4.4 The Two Programs Are Independent

  • Declining or withdrawing Lead Program consent does not stop Platform Messaging.

  • Opting out of Platform Messaging does not withdraw Lead Program consent.

  • You may exercise either right without affecting the other, and exercising either will not change your membership benefits or pricing.

For each Platform Messaging opt-in, WDG records the date and time, the exact consent language displayed to you, the version of the form, and the technical identifiers of the submission. You may request a copy of your own consent record at privacy@wirelessdealergroup.com.

4.6 How to Opt Out of Text Messages

  • Platform Messaging: reply STOP to any WDG text message, email support@wirelessdealergroup.com, or call 833-833-2893. Honored immediately and permanently.

  • Lead Program: see Section 3.3.

  • Vendor messages: reply STOP to that vendor's message, which stops that vendor only.

Section 5: Vendor Terms

5.1 Vendor Eligibility

Vendors must be legitimate businesses operating in the wireless dealer industry or providing services relevant to wireless dealers. WDG reserves the right to reject any vendor application at our sole discretion.

5.2 Vendor Listing Tiers

WDG offers four vendor listing tiers:

  • Listed — free — company name only, basic directory presence. No dealer contact information and no lead access.

  • Standard — $25/month, or $20/month billed annually ($240/year) — company listing, one category, company name, company phone number, and WDG Accreditation. Phone call lead access.

  • Preferred — $99/month, or $80/month billed annually ($960/year) — company listing, five categories, company name, phone number, logo, website, email, and WDG Accreditation. All lead types and advertising access.

  • Premium — $199/month, or $165/month billed annually ($1,980/year) — company listing, unlimited categories, company name, phone number, logo, website, and email; one monthly e-blast to the WDG subscriber list; highlighted listing and top-of-category placement; WDG Accreditation; a dedicated Business Profile Page with business information, hours of operation, location map, and direct link to your website; full analytics and a dedicated account manager.

Vendor listing fees are billed monthly or annually as selected at signup. Annual listings are billed in full at the beginning of each annual term at the discounted annual rate shown above. Listing fees are charged separately from lead fees, which are described in Section 5.6.

Vendor cancellation. Vendor listing fees and lead fees are non-refundable, as stated in Section 2.4. Listings may be cancelled at any time. Cancellation stops future billing and takes effect at the end of the period already paid for, with no partial or prorated refund for the unused portion.

On cancellation: your directory listing reverts to the Listed tier or is removed; your WDG Verified badge for the cancelled tier is withdrawn, and you must remove it from your website and all other materials within 10 business days; and any remaining prepaid lead credit balance is not refunded, but remains available for 12 months and is restored if you reactivate a paid listing within that period. A vendor removed for violating the Vendor Conduct Standards in Section 5.4 forfeits any remaining lead credit balance immediately.

5.3 Vendor Verification

All paid vendor tiers are subject to WDG verification. Verification confirms vendor legitimacy, reviews credentials, and awards the appropriate WDG Verified badge. Verification is included at no additional cost with all paid listing tiers.

5.4 Vendor Conduct Standards

All vendors participating in the WDG Lead Program agree to the following conduct standards:

  • Respond to all received leads within the delivery window — immediate for highest bid, 24–48 hours for second tier, 48–72 hours for third tier

  • Contact members only through the methods specified in their consent — phone, email, or text as applicable

  • Contact members no more than once per day per vendor during the initial outreach period

  • Identify yourself as a WDG vendor partner in every initial contact — "I'm reaching out through Wireless Dealer Group"

  • Obtain and document your own consent for any text message you send, and do not rely on any consent a member gave to Wireless Dealer Group

  • Maintain your own opt-out system and honor all STOP requests for text messages immediately and permanently

  • Honor all unsubscribe requests for email immediately and permanently

  • Maintain current Do Not Call list compliance and comply with the Telephone Consumer Protection Act, the CAN-SPAM Act, and applicable state telemarketing law

  • Never sell, share, or transfer member contact information to any third party outside the WDG network

  • Never disparage competing vendors to WDG members

  • Report lead outcomes to WDG within 30 days of receiving a lead

Vendors who violate these conduct standards are subject to immediate suspension from the Lead Program, removal from the directory, and forfeiture of any remaining lead credit balance without refund.

5.5 Vendor Lead Billing

Vendor lead fees are charged per qualifying lead based on category, lead type, member verification level, and bid amount. Vendors maintain a prepaid lead credit balance from which lead fees are automatically deducted upon lead delivery. Monthly listing fees are charged separately from lead fees.

WDG uses call tracking technology to capture and verify phone call leads. A call must exceed the minimum duration threshold for the relevant category to qualify for billing. WDG reserves the right to adjust duration thresholds at any time with notice to vendors.

5.6 The WDG Auction System

WDG operates a blind bid auction system for dealer application leads. Vendors set standing bids per category. When a qualifying lead enters a category, WDG routes it to the top bidders at staggered delivery intervals. All bids are blind — vendors cannot see competitor bids. Each vendor is charged their own bid amount upon lead delivery. WDG sets minimum bid floors per category which are subject to change with notice.

Section 6: Platform Rules and Acceptable Use

6.1 Member Responsibilities

As a WDG member you agree to:

  • Provide accurate and truthful information at all times

  • Keep your account credentials confidential and not share login access

  • Use the Platform only for lawful business purposes

  • Treat other members and vendors with professional respect

  • Not engage in spam, harassment, or predatory business practices through the Platform

  • Not scrape, copy, or redistribute WDG content, directory data, or member information

6.2 Prohibited Activities

The following activities are strictly prohibited on the WDG Platform:

  • Submitting false or misleading information in any application or form

  • Creating multiple accounts for the same individual or business

  • Circumventing membership tiers to access restricted content

  • Using the Platform to promote illegal products or services

  • Attempting to contact vendors outside of the WDG platform to avoid lead fees

  • Attempting to recruit WDG members away from the Platform for competing services

  • Using automated tools to scrape or harvest Platform data

6.3 Content Standards

All content submitted to the Platform including profile information, forum posts, reviews, and community contributions must be accurate, professional, and relevant to the wireless dealer industry. WDG reserves the right to remove any content that violates these standards without notice.

Section 7: Privacy and Your Personal Information

7.1 Our Privacy Policy Governs

WDG's collection, use, sharing, sale, retention, and protection of personal information is governed in full by the WDG Privacy Policy, available at wirelessdealergroup.com/site-menu-items/privacy. That policy is incorporated into these terms by reference, and it is the authoritative statement of our privacy practices. Where these terms and the Privacy Policy appear to differ on a privacy matter, the Privacy Policy controls.

The Privacy Policy describes, among other things:

  • The categories of information we collect from dealers, vendors, and site visitors

  • How we use that information

  • Which vendor listing tiers receive or purchase dealer contact information, and which do not

  • That paid vendor tiers pay for dealer leads, and that this constitutes a sale of personal information under the California Consumer Privacy Act

  • Your rights under California, Virginia, Colorado, Connecticut, and Utah privacy law, and how to exercise them

  • The "Do Not Sell My Personal Information" process and where to submit a request

  • How long we retain information and what we retain after cancellation

  • Our handling of text messaging consent and opt-in data

7.2 Sale of Personal Information

WDG sells dealer contact information to Standard, Preferred, and Premium tier vendors as part of the Lead Program. Under the California Consumer Privacy Act, payment for dealer leads constitutes a sale of personal information. California residents have the absolute right to opt out of these sales at any time, at no cost and with no effect on membership benefits or pricing.

To opt out, use the "Do Not Sell My Personal Information" form at wirelessdealergroup.com/privacy-request, email donotsell@wirelessdealergroup.com, call 833-833-2893, or toggle "Do Not Sell My Information" in your member dashboard. WDG also recognizes Global Privacy Control (GPC) browser signals as valid opt-out requests.

Your Platform Messaging consent and opt-in data are never sold to anyone and are not part of these sales.

7.3 Call Recording

Calls placed through WDG tracked numbers may be recorded and monitored for billing, quality, and compliance purposes. Call duration and connection status are captured for lead billing. Recording practices and retention periods are described in the Privacy Policy.

7.4 Security

WDG implements reasonable technical and organizational measures to protect member information from unauthorized access, disclosure, or loss. No data transmission or storage system is guaranteed to be completely secure. Members are responsible for maintaining the security of their account credentials. Our security measures are described in detail in the Privacy Policy.

Section 8: Intellectual Property

All content on the WDG Platform including text, graphics, logos, directory data, training materials, tools, AI responses, and software is the property of Wireless Dealer Group or its licensors and is protected by applicable intellectual property laws.

Members may not reproduce, distribute, modify, or create derivative works from WDG content without express written permission. The WDG name, logo, and Verified badges are trademarks of Wireless Dealer Group and may not be used without authorization.

Section 9: Disclaimers and Limitations of Liability

9.1 Platform Disclaimer

THE WDG PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WDG DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

9.2 Vendor Relationships

WDG facilitates connections between members and vendors but is not a party to any agreement entered into between members and vendor partners. WDG does not guarantee the quality, legality, or suitability of any vendor service or product. Members engage with vendors at their own risk.

9.3 Lead Program Disclaimer

WDG does not guarantee that any lead will result in a business relationship, vendor approval, or any specific business outcome. Lead quality and conversion are subject to member qualifications, vendor requirements, and market conditions outside WDG's control.

9.4 Vendor Communications

WDG is not responsible for the content, timing, frequency, or legal compliance of communications sent to you by vendor partners. Each vendor is independently responsible for its own compliance with the Telephone Consumer Protection Act, the CAN-SPAM Act, and applicable state law, and for maintaining its own opt-out systems.

9.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WDG'S TOTAL LIABILITY TO ANY MEMBER OR VENDOR FOR ANY CLAIM ARISING FROM USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY THAT PARTY TO WDG IN THE THREE MONTHS PRECEDING THE CLAIM. WDG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

Section 10: Dispute Resolution

Any dispute arising from these terms or the WDG Platform shall first be subject to good faith negotiation between the parties. If negotiation fails within 30 days, disputes shall be resolved through binding arbitration under the American Arbitration Association Commercial Arbitration Rules. Arbitration shall be conducted in San Bernardino County, California. Class action lawsuits and class arbitrations are waived to the fullest extent permitted by law.

Section 11: Governing Law

These terms are governed by the laws of the State of California without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in San Bernardino County, California.

Section 12: General Provisions

Entire Agreement. These terms, together with the Privacy Policy incorporated by reference, constitute the entire agreement between you and WDG regarding the Platform, and supersede all prior agreements and understandings on that subject.

Severability. If any provision of these terms is found unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver. WDG's failure to enforce any provision of these terms is not a waiver of its right to do so later.

Assignment. You may not assign or transfer these terms or your account without WDG's written consent. WDG may assign these terms in connection with a merger, acquisition, or sale of assets.

Notices. WDG may provide notice to you by email to your registered address, by notice in your member dashboard, or by posting on the Platform. You may provide notice to WDG at the contact information in Section 14.

Force Majeure. Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control.

Section 13: Changes to These Terms

WDG reserves the right to update these Terms of Service at any time. Material changes will be communicated to active members via email at least 30 days before the effective date. Continued use of the Platform after the effective date constitutes acceptance of the updated terms. The current version of these terms is always available at wirelessdealergroup.com/site-menu-items/terms-%26-conditions.

Changes to our privacy practices are governed by the "Changes to This Privacy Policy" section of the Privacy Policy.

Section 14: Contact Information
