Can my LLC become an S-Corp without becoming a C-Corp first?

Yes. An LLC can elect S-Corp tax treatment directly by filing Form 2553 with the IRS. You keep the LLC's liability protection and state filing status; you're only changing how the IRS taxes the profit. No conversion to a corporation is required.

Is an S-Corp always better than a C-Corp for a small dealer?

Not always, but usually for owner-operated shops. S-Corp status tends to save money once net profit clears roughly $40,000-$60,000 a year, since the self-employment tax savings outweigh the added payroll and accounting cost. C-Corp fits better if you're raising outside investment or want to retain most profit in the company.

What happens if I pay myself too low a salary as an S-Corp owner?

The IRS can reclassify part of your distributions as wages, hit you with back payroll taxes, penalties, and interest. Document a reasonable salary using real market wage data for your role before you file, and keep that documentation on hand.

Does electing S-Corp status change my state taxes too?

It depends on your state. Most states follow the federal pass-through treatment, but some charge a franchise tax, minimum fee, or entity-level tax regardless of federal election. Verify your specific state's rules with a local CPA before you file.
